Terms of Service

1. Acceptance of terms

By accessing or using Cortexta (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2. Accounts and eligibility

  • You must provide accurate account information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
  • You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction).

3. Acceptable use

  • Do not use the Service for unlawful activities, to infringe on intellectual property, or to transmit harmful content.
  • Do not attempt to probe, scan, or test the vulnerability of the Service without authorization.
  • Do not overload, interfere with, or disrupt the integrity or performance of the Service.

4. Subscription, billing, and taxes

  • Paid plans are billed in advance on a subscription basis; fees are non‑refundable except where required by law.
  • We may change pricing with reasonable prior notice; changes take effect in the next billing cycle.
  • You are responsible for all applicable taxes, duties, or levies.

5. Intellectual property

  • We and our licensors own all rights, title, and interest in and to the Service, including software, trademarks, and content, excluding Your Content.
  • You retain ownership of your content. By submitting content, you grant us a limited license to host, process, and display it solely to provide and improve the Service.

6. Customer data and confidentiality

We will treat your non‑public data as confidential and use it only to provide the Service, as described in the Privacy Policy and, for B2B customers, the Data Processing Addendum.

7. Data processing and privacy

Where we process personal data on your behalf, we do so as a processor under applicable data protection laws. Our processing is governed by the DPA. For details on collection and use, see the Privacy Policy.

8. Security

We implement appropriate technical and organizational measures to protect your data, including encryption in transit and at rest for sensitive data, access controls, and incident response procedures.

9. Service levels and changes

We aim to provide reliable service but do not guarantee uninterrupted availability. We may modify or discontinue features; material changes will be communicated with reasonable notice.

10. Third‑party services

The Service may integrate with third‑party services. Your use of third‑party services is governed by their terms, not ours. See our Sub‑processors page for providers that process data on our behalf.

11. Warranties disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Cortexta and its affiliates, officers, agents, and employees from any claim arising out of or related to your use of the Service or violation of these Terms.

14. Term and termination

Either party may terminate at any time. Upon termination, your right to use the Service ceases. We will delete or return your data in accordance with the Privacy Policy and DPA.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction of our principal place of business, without regard to conflict of laws principles. Disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.

16. Changes to these Terms

We may update these Terms. We will post the updated Terms with a revised effective date and, where required, provide notice. Continued use of the Service after changes constitutes acceptance.
